Special Meeting – ONCA

On September 21, we are holding a Special Meeting of Members with the sole purpose of seeking your
support and approval of the updated governance documents before they can be submitted to the
province by the deadline of mid-October. Our timeline is tight and important: without our submission to
the province, the Act will automatically supersede our existing by-law at the end of October.

Members will vote on the proposed new By-Law #1. If you are not able to attend, you may vote by proxy. Proxy forms are available on the ONCA page of this website.

ONCA” (Ontario Not-For-Profit Corporations Act) is the legislation for not-for-profit organizations incorporated in the province of Ontario, such as the Nepean Sailing Club. The purpose of ONCA is to modernize how not-for-profit corporations are created, operated, governed, and dissolved. ONCA, 2010 came into force October 19, 2021, and was amended effective Oct. 1, 2023. Not-for-profit corporations must update their articles (originally referred to as Letters Patent) and By-laws by no later than October 18, 2024, to be compliant.
